If a NRI wants to become director0.
of an Indian copmany.what is the procedure to sign the MOA . and if he is not able to sign the same can he assign some one in India to sign on his behalf. and if yes what is the procedure for it.

Where it is proposed to associate a foreign national or foreign company with the incorporation of an Indian company and allow him to be a subscriber to the Memorandum, prior approval of the RBI shall be required. Further the foreign national should be competent to contract.

The proposed director/subscriber will sign the last page of MOA and AOA (subscriber page)in his/her own hand writing. If such person is illiterate then other person will sign.
After signing such page, the page will be notarised in that country and will be attached with MOA and AOA.
No Indian Notarise is allowed for foreign nation.
