i have a querry regarding change of main objects.
a company with name e.g abc trading private limited having only one main objects i.e trading in its main objects wants to start insurance agent business.can it start it without altering its main objects or it has to alter its main obejcts without changing its name as the name sugegst trading business only?

Please resolve my query.

The Form had been filed . The payment has been deducted but the transaction status is not reflecting in the login and the screen shows that "Payment Confirmed. Transaction is being processed by system" What to do the transaction status is not known.The MCA officials are saying the payment is confirmed but the form is not opening and I should wait for two hours. I have wrongly filed form 1A with 2 promoters instead of 4 promoters and the Company name is approved by ROC. now how could i rectify it?
Should i file form 1A again or if i will file form 32 with directors, it will be ok?

As notification issued for general exemption relating to not attach subsidiaries account separately with holding company, only stand alone and consolidate account is enough.

My query is, such notification also applicable to those company which has only one subsidiary? Our auditor says this notification applicable to companies having more than one subsidiary but not in case of one subsidiary. Our company is listed one.

Dear Experts,

The Company was incorporated in November, 2000.
The CIN no. on the Incorporation Certificate and the CIN displaying on the MCA site are different.

Please Clarify why there is difference between the two CIN.

In Company ABC pvt. Ltd., there are two directors. Director 'A' holding 70% with his relative wants to remove the director 'B'. who is the MD of the Company.But because the director B is not ready for holding any Board Meeting or EGM.

So how can we remove the director B without holding any meeting?

Beside this, the term of Director 'B' as a MD of the Company has been expired.

Please suggest, what can i do next?

A public company has given advance to a private company as per its balance sheet but it is not mentioned for what purpose the advance has been given in any of its financial statement.

Please clarify
1) if section 295 and 296 would be applicable
2) what are the various exemptions of section 295 and 296 a public company has, while giving advances
3) Please cite relevant case laws, if any

only holder named first in register can alone sign proxy form to authorise proxy for voting
