AOP is not registered under any Act and running the business and assessed as AOP under income tax Act,1961.

But if AOP get registered itself under companies Act, Is company is different from AOP after get registered ? or AOP called company after get registered ?

A valid poll was given at the general meeting. Later the same was withdrawn by the shareholders. What is the effect of the poll and resolutions. How would this effect the provisions of companies act 1956?

whether it is compulsary for a new form pvt. ltd. co to appoint an auditor one month after the incorporation. if com. failed to appoint auditor then what is the penalty or what the next step of co.

Sir our issued share capital is consisting of 300000 equity shares.On 30.03.13 we have issued 30000 filled F.no.2 with ROC on 30.05.13.But whereas in point no.6 (Capital structure of the co.after taking into consideration of this allotment)by mistake we have taken it 3000 shares instead of 30000 equity shares & in aggregate column we have taken it as 303000 shares instead of 330000 shares.So as per Master data of ROC site our Issued capital is consisting 303000 shares whereas as per record or balance sheet issued capital is 330000 shares.now we want rectify this mistake.so pls. advice us how to rectify the same & Form no. which is require to file with ROC for such rectification

SIR, ONE PVT LTD FIRM HAS NOT FILLED ITS ROC FORM 23AC/ACA OR SO ON FROM LAST 3 YEARS, THEN WHATS THE SOLUTION FOR THAT FIRM. AND EVEN NO CA APPOINTED. WHEATER FIRM HAS TO APPOINT CA FROM BACK DATE AND THEN FILE FORM OR ANY OTHER OPTION.

I have a doubt regarding Form 23AC.

Due to some problem we cannot file FOrm 66 right now but we need to proceed with Form 23AC .

When i am trying to prescrutinise the Form 23AC it is asking SRN of Form 66 .So can we give dummy SRN for Form 66 and file form 23AC ?

WHAT IS THE PROCEDURE OF CONVERSION OF PRIVATE LIMITED COMPANY INTO PUBLIC LIMITED ALONGWITH CHANGE OF NAME.
For eg. we want to convert our company M/s ABC Pvt. Limted into PQR Ltd.
In this we want to convert our company into public with a new name.
Kindly expalin the procedure to be followed:
Do we have to make conversion first and then change the name or vice versa.Or can both conversion and change of name be done simultaneously with ROC

We are a 100% Export Oriented Unit manufacturing Electronics Components. We are exempted from Mandatory Cost Audit but we are not exempt for maintaining cost accouting records and filing of report with MCA can anyone help me to get the Format for maintaining such record. Please also let me knwo the compliance report I have to obtain from a practising cost accountant.
