A company is incorporated in July, 2013. The first Directors of the company are already directors of other companies.

In this case do we have to take the 24AA Notice as on 31st March, 2013?

Our Company is public limited Company having 6 directors. Out of 6 directors 1 is MD and 2 are WTD. Our AOA provides that MD and WTD are not liable to retire by rotation. So please guide me as per Company Law, How many directors I need to retire this year?

A Pvt. Ltd. Company was incorporated on 21st September, 2010. The subscribers to the MOA are Non-Resident Companies. However the Company received the share subscription amount on 17th January, 2013 post that date shares were allotted to them on 22nd Jan, 2013. Now as per Section 113 of the Companies Act, 1956 the share certificates are to be issued within 3 months of allotment. So the Company will issue share certificates on 18th April, 2013.

Is this valid as per Companies Act??

Is there any time limit within which the subscribers are required to bring the subscription amount...If yes, which provision states that??

In a Private Company the auditors have given their resignation before the expiry of their term.

In this case do we need to call an EGM to appoint the auditors or we can just appoint the new auditors in BM.

Plz provide a checklist for the incorporation of the Nidhi company

As per section 292 of the Companies act 1956,the board of directors has the power to issue debentures only by means resolution passed at meetings of the board. It should not delegate its power to committee of directors.

My question is whether an unlisted company issue debentures through its committee of directors? (by fixing a limit for issue of debentures on private placement basis at its board meeting)

I want a format of Board Resolution in relation with Private Company has taken overdraft of Rs. 10 Lacs from the Bank and the period is expiring therefore it is required to be extended for one year. it is urgent.

If in a Company all the Directors are Whole Time Directors then what about Retirement by rotation and there is also a clause in AOA that WTD shall not be liable to retire by rotation?

we have received a mail from one shareholder asking the documents like MOA , AOA ,ANNUAL REPORT , SUBSIDIARY DETAILS etc .



since all these information is available on public domain (MCA site )i dont understand why they contact company.



my query is :---

1) are we suppose to send this document to member.which section governs this

2) if yes , by which medium (post / mail ??)which section governs this

3) what are the charges like per word etc ? which section governs this.
