As per section 292 of the Companies act 1956,the board of directors has the power to issue debentures only by means resolution passed at meetings of the board. It should not delegate its power to committee of directors.

My question is whether an unlisted company issue debentures through its committee of directors? (by fixing a limit for issue of debentures on private placement basis at its board meeting)

I want a format of Board Resolution in relation with Private Company has taken overdraft of Rs. 10 Lacs from the Bank and the period is expiring therefore it is required to be extended for one year. it is urgent.

If in a Company all the Directors are Whole Time Directors then what about Retirement by rotation and there is also a clause in AOA that WTD shall not be liable to retire by rotation?

since all these information is available on public domain (MCA site )i dont understand why they contact company.

In a private company PQR Pvt. Ltd., there is a director 'A', who is shareholder of the company also. Now 'A' is falling under category of non resident.

1. Will it effect directorship of 'A' in Board of Directors of the Company?

How long does a company have to start work after receiving commencement certificate. What i mean to ask is is it ok if a company starts its operations after 1 year of receiving commencement certificate. Is there any time limit after incorporation.

A pvt ltd. company have paid up capital of rs 100 cr. and appointed cs as per sec 383 A of companies act 1956. CS resigned after 3months of appointment. My query is that is compalsary to appoint new cs by company for remainig period of year ?
