Issue of debentures

13 August 2013 As per section 292 of the Companies act 1956,the board of directors has the power to issue debentures only by means resolution passed at meetings of the board. It should not delegate its power to committee of directors.

My question is whether an unlisted company issue debentures through its committee of directors? (by fixing a limit for issue of debentures on private placement basis at its board meeting)

If you have constituted Securities Committee which deal with matter of securities can issue debentures but finally it will be issued and approved by the Board of directors.
