We (a listed co.) want to make subsidiary to ABC Pvt. Ltd. by controlling and manage the composition of Board of director of ABC Pvt. Ltd.

Please tell me how practically it works and what are the compliances need to be followed.

Whether I have to take approval from shareholders.

Whether I've to inform ROC,Stock Exchange or any other authority.

please help, I have a pvt ltd company incorporated in 2007 having loan from sidbi but the case is in DRT and in nov. 2011 among two director a principal director had died and company had not filed roc return from f.y 2009-10 onwards. Now the company have received a notice and warrant of arrest for defaulting u/s 220(3), 162(1) & 159. what should be the remedies against it?

whether form-21 is required to be filed in case of change of objects clause of MOA of a public,listed co and in what time?

Our client is a private limited company and they are paying remuneration to Directors, by passing board resolution.
My query is whether shareholders approval is required for such remuneration and if yes, whether special or ordinary resolution is to be passed and whether any form is required to be filed.

sir i have a client where there are 3 directors in the pvt ltd co, the same directors have formed a seperate partnership firm where in all 3 are partners, now they want the pvt ltd company to be added as one of the partners in that firm can they do it and what are the implication if this is possible.

-AOP can be member ?

- if pvt company has taken unsecured loan from AOP , what i should do i ) allot share to AOP or ii) allot share to all member of AOP to save from non compliance of 58A
