12 September 2013 whether form-21 is required to be filed in case of change of objects clause of MOA of a public,listed co and in what time?
If not what all procedures are required to be complied with and what forms are required to be filed and in what time period, for alteration in MOA regarding change in objects clause?

12 September 2013 Procedure for change in object clause

This process involves alteration of MOA

1. First Call a board meeting and pass following 3 resolutions
a) resolution for change in object
b) calling of General Meeting.
c) authorisation to sign digital form

2. On due date hold General Meeting and pass the Special Resolution.
3. File form23 with ROC within 30 days of passing Special Resolution in General Meeting.
4. Prepare new MOA with new clause and attach the same in form-23 along with notice of General Meeting.

12 September 2013 If in your case change in objects clause involve approval of some authority like CLB, RD etc at any stage or point of time, then you have to file form 21 with ROC within 30 days of passing relevant order by the said authorities.

Form-21 is used to register letter/order passed by other authority, with ROC. For more info kindly refer the instruction kit of form-21.
