Please tell me what are the terms of Reference of remuneration committe of unlisted public company.

Terms of reference are not given in law for remuneration committee of unlisted public company. Basically remuneration committee is to recommend remuneration in accordance with the provisions of schedule XIII. So according to me you can go ahead without formal terms of reference of remuneration committee.
