Is E-Voting for Listed Companies mandatory, if not complied, what are the penal provisions.

Auditor of a Limited Company resigned on feb 2014, But till date the company does not appointed new auditor.

Please tell me the procedure of appointing new auditor in place of resigning auditor under new company Act 2013.

Please also tell which form has to be filed in ROC ?

if private company showing in mca As dormant that company not filed financial in the 2011-12 and 2012-13

but new company rules specifying that company has to file msc-1 and msc-3 amd msc-4

please let me know that what is that Msc-3 and if company have to file last two years financials or not?

I AM A DIRECTOR IN PRIVATE LTD.CO.WITH 15% SHAREHOLDING THERE ARE OTHER TWO DIRECTORS WITH 15% AND 48% SHAREHOLDING. THE OTHER TWO DIRECTORS HAVE APPOINTED SOME OUTSIDER TO RUN THE WHOLE COMPANY WITHOUT MY CONSENT AND KNOWLEDGE. BEING A DIRECTOR WITH 15% SHAREHOLDING THE PERSON WHO IS APPOINTED TO RUN THE WHOLE COMPANY BLUNTLY DENIED ME ANY INFORMATION REGARDING THE COMPANY RUNNED BY HIM AND TELLS ME THAT IF I REQUIRE ANY INFORMATION REGARDING THE COMPANY I HAVE TO ASK THE OTHER TWO DIRECTORS WHO ARE NEVER AVAILABLE.HE ALSO TELLS ME THAT I AM NOT ALLOWED TO CONTACT ANY PERSON WORKING IN THE COMPANY FOR ANY INFORMATION OF WHOM I AM A DIRECTOR AND A SHAREHOLDER AS HE HAS BEEN GIVEN FULL AUTHORITY BY THE OTHER TWO DIRECTORS.

THE MINUTES WERE NEVER CIRCULATED AND ALL THE THINGS WERE MANUPILATED BY THE OTHER TWO DIRECTORS WHO ARE THE MAIN BENIFICIARY WITH VESTED INTEREST AND WANTED TO KEEP ME OUT

I am trying to incorporate small company.
While filling form INC-22 & DIR-12 it shows error that "Signature field for Practicing Professional is unsigned"

I have tried using downloading new forms many times
Also tried by typing as well as copying but it shows same error.

Kindly help us to resolve it.
