What is the process of appointment of Internal Auditor in a Listed Company. Can he appointed by the Board or approval of shareholders is required for it.

Dear audit committee can appoint internal auditor...there is no requirement of shareholders approval

no approval of shareholders required usuually its audit commitee in listed co which recommends board for appointing ininternal auditors.
