Experts Please help me to know about the implications of running a company by using the words private limited without getting registered with ROC?

Is ROC can take any legal action against the person(Director) of the company? if yes then what will be action and procedure?

Is companies act 2013 applicable for CS executive decembr examination???

Whether a holding company(Public company) can give interest free loans to its Subsidiaries / Wholly owned subsidiaries under Companies act 1956.

I AM A DIRECTOR IN A PRIVATE LTD. COMPANY WITH 15% SHARE HOLDING THERE ARE OTHER TWO DIRECTORS WHO HOLD 15% AND 48% RESPECTIVELY IT BEING A FAMILY CONCERN THEY ARE TRYING TO SIDELINE ME. THE HAVE NEVER EVER CONDUCTED ANY AGM NOR THERE IS ANY BOARD MEETING SO THE QUESTION OF MINUTES DOES NOT ARISE BUT STILL THEY HAVE MANIPULATED ALL DOCUMENTS REQUIRED FOR THE ROC.THEY HAVE ALSO APPLIED FOR AN OVERDRAFT FACILITY WITHOUT MY CONSENT OR APPROVAL. I HAVE NOT SIGNED IN ANY OF THE BANK PAPERS WILL I HAVE TO BEAR ANY FINANCIAL LIABILTY ARISING FROM NON PAYMENT OF LOANS TAKEN FROM THE BANK IF SOMETHING GOES WRONG.
THE BANK HAS ISSUED A LOAN AND A PERSON WHO IS NOT A DIRECTOR HAS SIGNED IN THOSE DOCUMENTS WITH THE COMPANY SEAL AS BEING A DIRECTOR IS THIS A FRAUD AND CAN ANY ACTION BE TAKEN AGAINST THE OTHER TWO DIRECTORS AS WELL AS THE BANK

Hi,

As per Sec 173 of CA 2013, where Board meeting is held at shorter notice and in absence of Independent Directors, the minutes has to be circulated to all the directors & shall be final only on ratification by Independent Directors.

In the above case, where co. is not required to have ID then minutes shall be considered as final by circulation or it should be ratified by all Directors (whether present or not in the BM)?

Sir i need some information regards roc fee and stamp duty as per new act how much burden will fall our company for increasing authorized capital 100000 to 50 lakh rupees sir ..plss tell me how much i pay approx..

Our Company wishes to increase its auth capital from Rs.20 crores to Rs.40 crores.


How much will be the fees for this ?

I have roughly calculated the fee and it is coming out to Rs.15 lacs.

Please advice and rectify if I have calculated the wrong amount.

One of the director of a pvt company resigned w.e.f 31.08.2013 but E-Form 32 was not filed at that time.

Which E-form is to be e-filled now.

DIR -11 or DIR 11 alongwith DIR 12.
