I am Arul, Chartered Accountant and registered professional User in mca21 website. I renewed my DSC on 12th Sep 2014. I am trying to register my renewed DSC as professional.
When I affix the new DSC and click submit, the message "User is already registered against this PAN" shows up.
I have enquired the ncode solutions (Certifying Authority) for the validity of this renewed DSC. They said the DSC is ok
How do I proceed to register my new DSC as professional ?

If in a listed Company, there are 6 Directors (1 M.D, 2 WTD, 3 independent Director),
then who is liale to retire by rotation?
As Independent Director are not liable as per new Act.

Is MGT-14 required to filed while increasing the authorised share capital? I filed MGT-14 along with SH-7. The SH-7 got approved but the MGT-14, it is said I have filled up the form wrongly. I couldn't get the reason behind it. The due date to resubmit is 10th sep. So please kindly reply me at the earliest

I have to appoint a director in Pvt Ltd Company.The director i have to appoint was Promoter of company but due to some reason he quit the company and give resignation.But now he want to again become director, Suggest me whether i appoint him Promoter, Professional or Independent Director, Also send me the format of Appointment Letter as per requirement of DIR-12.

Few days back i had applied for the name approval of a newly chit fund company in Form INC-1. but ROC rejcets it and sent for resubmission error shows:-

FILL UP COLUMN 15(a) AS YES SINCE THE ACTIVITY REQUIRES THE APPROVAL OF ANOTHER REGULATORY AUTHORITY.

Now i have resubmitted the form by ticking column 15(a) as YES and name also gets approved. but i have not attached any approval letter because it can be attached while uploading FORMS INC 7, 22 and DIR 12.

Now from which regulatory authority am i required to take a approval. and is it necessarry because chit fund company is a residuary NBFC and not carrying any type of business which other main NBFC carries.

As we know the composition of Nomination Committee that is

" A. The company through its Board of Directors shall constitute the nomination and remuneration committee which shall comprise at least three directors, all of whom shall be non-executive directors and at least half shall be independent.Chairman of the committee shall be an independent director.

Can any one tell me the difference between non- executive and independent Directors?

As per Co. act 2013 auditors to be appointed for 5 years. if a small pvt ltd co. has XYZ co. as auditors for last two years, then whether XYZ co. to be reappointed in SEPTEMBER, 2014 AGM for 3 years (upto F.Y 2016-2017) as per prov of section 139 illustration?? After that he will be reappointed for 5 years. PLZ CLARIFY...
