What is one person company,weather it can be formed by converting proprietary businesses into one person company as per companies act 2013 and what is procedure?

A Private Limited Company has been Incorporated in Month of June 2014, but since it has not filled Form INC.21 i.e. Commencement of Business. Now client want to to fill it to MCA. My query is it that can it be filled belately because the actual periood of 180 days has be gone

If a company is incorporated in december 2014, can it close first year of accounts on 31.03.2015?
If it ends the accounting year on 31.03.2014, assuming it hasnot filed roc, it may need to pay late fees. How can it best avoid the same?

If a partnership/proprietorship is converted into a private limited company and assets are taken over at wdv to firm/proprietor,then how to decide the following:

1)Useful life of the assets taken over?
2)Cost of such assets?

Company A has obtained OD of Rs. 1 crore u/s 293 of Companies Act 1956 where as its authorised capital is Rs 10 lacs. In the month of january company renew its OD limit. In January 2015 company renew its OD without any change in its limit. Whether the company has to pass any special resolution for such renewal u/s 180 of Companies Act 2013 ??? Does it has to file MGT 14 with ROC???

I got list of signatories from MCA but it is showing only some of the directors.


How can I get the list of all directors as on date?

Case details:-

Company has Share application money (pending allotment) for the years ending 31.03.2012, 31.03.2013 and 31.03.2014.
Now Company has received a Show cause notice from ROC dt-23/12/2014 stating that there is a violation under section 205C of Companies Act. Because company has neither filed a form 5INV nor has done any treatment for the same in the previous years.
Acc to me now that the money is in the balance sheet for so long, it must be considered under the definition of Deposits.
Query:-
• Can I allot the shares?
• If yes, What is going to be the procedure?
• If no, what is the possible outcome?
• If it is a case related to Deposits, what is going to be the procedure for Refunding?
• Which form is required to be filed with MCA?
• What will be the rate of interest?
• How much Fine penalty will be attracted under Companies Act, 2013 for the same?

Is a nominee director a member of the Company ? I mean do we enter their name in the register of members?
