Dear Experts, there is a private ltd co. which is a subsidiary of a foreign company incorporated outside India. this private ltd company follows Financial Year which ends on 31 st December of every year so as to consolidate its accounts outside India. As per section 2 (41) of companies act, 2013, do you think this company needs to make application to tribunal as it is already following different F. Y. before commencement of new act. further there is a time period of two years given in the definition of Financial Year in new act. whether this time limit is applicable on pvt co. or not.

please tell me what are the forms to be filed with roc after incorporation of a private limitedi company and time limit for the same along with procedure

Can a private company have 2 MD, if yes please specify the section, rule, case law, circular, notification.

When our CA try to close our Pvt. Ltd company, in MCA website shows Our Loan pending status. But we already closed the Loan A/c. How we can remove the loan due status from MCA Website.

Anyone please guide me the procedure for Interim Dividend declaration and forms filed with Roc under Companies Act 2013?

Under Which section or Rules of Co. Act 2013 It is Mandatory to Appoint MD or Manager

I had this doubt recently while reading the new Co.s Act. If no auditor is appointed in the place of the retiring auditor even at the adjourned AGM, the retiring auditor is automatically reappointed.
But there are exceptions to it. where a resolution to re-appoint the retiring auditor is put to vote and lost the automatic re-appointment doesn't take place.
THIS POINT SEEMS TO BE ABSENT IN THE NEW ACT. MAY I KNOW THE REASON?

I had recently uploaded form INC-1. but i received a mail from MCA stating: resembling names, fresh names. Form should be resubmitted by 28/02/2015 failing which the eForm shall be treated as invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956)

What can be done?? Please help.

hello everyone..
i had applied for approval of name of a comapany in MCA In INC-1,(Networld infotech private limited. after few days it Displayed its status on MCA website as "to be Resubmitted" reasonning that the proposed name is too general.so i resubmiited the form with name "SNG Private limited" there are few other comapnies also whose name starts with SNG and now after two days i have received a mail from registrar that the name is rejected. i have queries mentioned below.
1)can i resubmit the form. if yes then do i will have to pay the fee again.
2)what are the points to remember for naming a company
3)camn i challenge the decision of the registrar.
