dear all members i want to know about company incorporation certificate, when at the time we filled all the documents required and compelet all compiliances then registrar verified them than registrar issue COI send to address or we have to go registrar office. Thanks in advance

As we know sec 164(2) where fails to file financial statements or annual returns for any continues 3 f/ys, my doubt is, if he filed only financial statements, can he escape the section

Company A is in need of funds, where CK & MK are directors. 97% of the shareholding is with another Pvt ltd company (Co. B) in which again CK & MK are the shareholders & directors both.

Since company A is in need of funds, CK & MK both have offered to pledge the shares held in Company A by Co. B.

What would be the entire procedure to be adopted -for pledging of their i.e Co. B shareholding for funds required by A?

1st - B may pass board resolutions to pledge shares,
2nd - Intimate Co. A about their pledge
3rd - enter into pledge agreement with lenders also making Co. A a party to it, since funds here are obtained for A, pledging is done by B
4th - Any other ROC formalities ?

Kindly help me with the entire process, if my approach is correct? Any other ROC filings needs to be done?

Acc to Rule 8A of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, a company other than a company which is required to appoint a whole time KMP and which is having paid up share capital of Rs. 5 Crores or more shall have a whole time Company Secretary.
please clarify the following

2.Which forms are to be filed at roc.
3.Time limit .

Hey, I have to change the object and name clause of my private company as my company is going to change its business and also want to adopt new articles. whether it would be possible in one EGM or not? or if possible then pls tell the procedure and tell me one more thing whether i have to attach fresh MOA and AOA with subscriber list???

If someone wants to transfer his share in a private Limited company at a face value (Rs.10)while the net assets value of the share is much higher say Rs. 250.
My question is whether he can do so as per company law and income tax law.
Further if he wants to gift his entire share to his relative what will be the implication

Sir, one company HL Forex Private Limited incorporated 01/09/2014, have not file E-form INC-21 within Six month ( up to February) because RBI approval letter is received in March. What i should to do for file this form.

I want to convert a private company into LLP. The form 1A(name availability) ask to change the DIN of Directors into DPIN. My query is whether The DIN will get invalid after conversion? if yes ,then what is the solution.Because the directors(of the co. to be converted into LLP) are directors of 2 other company as well.
