12 April 2015 As we know sec 164(2) where fails to file financial statements or annual returns for any continues 3 f/ys, my doubt is, if he filed only financial statements, can he escape the section

That means, in your case, if company has not filed annual return for continuous period of 3 years, then this section applies.
