As we know sec 164(2) where fails to file financial statements or annual returns for any continues 3 f/ys, my doubt is, if he filed only financial statements, can he escape the section

No. He can not. Section has specifically used the word 'OR' between financial statements and annual returns.
That means, in your case, if company has not filed annual return for continuous period of 3 years, then this section applies.
