11 April 2015 Acc to Rule 8A of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, a company other than a company which is required to appoint a whole time KMP and which is having paid up share capital of Rs. 5 Crores or more shall have a whole time Company Secretary.
please clarify the following

1.The procedure of appointment.
2.Which forms are to be filed at roc.
3.Time limit .

13 April 2015 1. Passing of Board resolution for appointment of CS.
2. File Form DIR-12, MGT-14 and Form MR-1 (MR-1 to be filed after approval of DIR-12)
3. File within 30 days of passing resolution (MR-1 - 60 days).
