I need to know about attachment under form 20B i.e., Annual Return.
I want to know whether any new format for annual return is available or format as per companies act, 1956 is enough for filing Form-20B for FY 2013-14.
Kindly provide the link for new format if available.

i filed form 7,12,22 for new co. incorporation. i recd. ROC instruction to resubmit form 1 requiring some changes in moa. i am confused i not submitted form 1 how to resubmit the same. further how to resubmit a form. please explain step wise process.

I am Confuse, CARO 2015 applicable of Private Limited Company, if fulfill All three Condition or one out of three condition

While uploading the Form-CHG-4 regarding Charge Satisfaction the following error is showing that "The certificate used for following signatures have been revoked,
Practicing Professional
Bank Official
Director".
So what can be done in this regard as all the signatures is valid and how to upload the same.

As forms for Annual Filling are not available and in case the AGM of the Company held in month of JULY then, form ADT-1 has to be filed within 15 days from the date of AGM.

So my query is:

1. Can we file form ADT-1 before filling of Annual Filling forms (which are pending from MCA side).
2. Non filing of ADT-1 within 15 days from the date of AGM attract penalty and non compliance as well also MCA has not provided any relaxation in connection.

Kindly suggest the action to be taken.

In Form DIR-12, which Category i.e. Promoter / Professional is appropriate for this Additional Director, who is not going to hold Shares in the Company.

Kindly Provide the following formats for applying the status of a dormant company:

1. Format of Special Resolution
2. Format of Auditors Certificate
3. Format of Statement of Affairs of Company.
4. Any other format as applicable in MSC-1

Sec. 152 speaks about retirement of rotation only for public Cos.

In case of a Pvt. Co. which is a wholly owned subsidiary of a Public Co. also needs to retire Directors by rotation or it shall be not applicable to that Co. ?
