Hi,

A private limited company purchases with its related party is more than 20% of his turnover (Transaction is normal course of business and at arm length ). Now question is:-

1. Company has to file AOC-2 with transaction.

2. Can be approve in board or it should be approve in members meeting.

3. Resolution can be take for the period more than one year (say for 5-6 year at one time) or it shall be restricted for one financial year

4. MGT -14 should be file for this resolution.(Board/Members resolution)

in public company there is 5 directors inclusive one sitting doirector.
Pls clarify How much maximum remuneration can be paid to all the 5 directors. What's its criteria?

Dear Experts,
as per scheduled v where the effective capital is negative or less then 5 crore. the yearly remuneration payable limit is 60 Lakh. however the limit can be doubled if special resolution is passed by share holders,
my query is :- suppose if pvt. ltd company profit is 50 Lakh before directors remuneration and the effective capital is below 5 crore. then how much maximum remuneration can be paid to directors weather 60 lakh or 50 lakh,

pls clarify....

The Company was incorporated on 20th august 2015. So Its due date of filing was on 31st December 2016. as per due Date, an annual return should be filed within 60 Days, when I am filing annual return it is taking extra fees Rs.1800.

As per above descriptions, my query are:-

1) What is the due date of First annual filing of OPC.
2) AGM Exemption is granted for OPC, So There is any requirement for filing form MGT-7. In other words, form MGT-7 is mandatory for Annual filing of OPC.

After companies Act, 2013, provision of Section 160 of the Companies Act, 2013 is not applicable,
(1) whether no need to give notice proposing candidature of person as director or only deposit is not required.

(2) If notice is necessary , can we give shorter notice.
