One private limited company wants to distribute interim dividend to its shareholders. It just want to distribute 90% of Reserve and Surplus as dividend. Whether it can distribute ?? What other conditions need to be fulfilled ??

The position of occupier of a factory has fallen vacant.The proposal to appoint a new director as occupier will be placed at the coming board meeting.
The Factories Act,1948 stipulates that in the case of a company ,one of the directors could be appointed as occupier of the factory.
Now the Company desires to know,whether an independent director can be appointed as an "Occupier" of the factory.
Though there is no specific restriction in the Act,can an ID be involved in the day to day affairs of a factory?

does the appointment of an additional director by passing a board resolution without acquiring DIN is valid? if company has passed such resolution and informed same to the stock exchange where it is listed, what will be the consequences & can be done by co. and such director to prevent those.

A New Company Incorporation is under process. The main business is Real Estate.

Can a Escrow Account be opened in a Bank (Public or Private) in the name of New Company, which is under Incorporation Process.

If Yes, then the amount, as collected in the form of advances, can be kept in the Escrow Account for how much time?

Sir, I need to appoint an auditor in the non-government private company. I have to appoint at the AGM, the new auditors instead of re appointing the retiring auditor.
Sir, i want to know that... what will be the period of new auditor, if appointed on the AGM held on 30.09.2016.
