Can any one plese clarify that whether pending annual filing is required to be completed before making application of strike off?

If the company is incoporated in 1993 and has not done a single annaul filing then now before making application for strike off do i have to complete all the annauk filing till date?

Under the Automatic Route of Direct Investment a corporate is allowed to invest 400% of its networth outside India.Does it free the corporate of all paper works or some minimal formalities are to be complied??
If yes, what are they??
Moreover, does setting up of new entity is also allowed under this route or not?

Example Co has profit Rs 80 mn, remu paid to director is 4.8 mn.
5% of profit is Rs 4mn so he has exceeded part I limits , he automatically falls in part II limit, as per schedule XIII limits say Comapny's effective capital is above 100 crores so then he is allowed to be given 4.8 mn per year right, then no excess remu?

On 1/8/10, auditor resiged by sending resignation letter to the Pvt Ltd Co. Reason of resignation is time contraint and personal reason. Now,BoD wants to appt new auditor. What is the procedure for this and what forms need to be filed with RoC and time limit for holding meeting and filing forms. Auditor was suppose to do audit for FY 09-10

Our company had done the spilt of shares, the board meeting was taken on 3rd july, 2010 for approving the same. And the AGM was held on 30th July, 2010 for approving the spilt. Whether I should include spilt in the Annual Return or not
