if a comapany held share in its subsidiary in the name of its nominee (investment not held in tis own name u/s 49(7))and further it want to change of nomination as old nominee is no more work with company.
Wheather any specific procedure would be followed or only just it would be happened by intimating the same(On letter Head) to its subsidiary

1. If a director resigns before his tenure from his office in a copany,is his resignation treated as casual vacancy? or just termed as resignation?
2.Is it mentioned in the section 262 that only death or accidents or uncertain conditions are only treated as casual vaccancy or even a resignation before the tenure for any reason can be treated as casual...?
3. If a director resigns then the board can appoint directors as under section 262 or the board should appoint additional directors u/s 260????

I had filed a form 1A(request for availability of name) for formation of a company. while filing, in the column for "details of promoters", i entered name of the promoter wrong(for example say instead of kishan i mentioned karan) , with correct PAN number( that is of correct promoter in our example kishan). now company name has been approved and am trying to file form 1(application for incorporation of company) and MCA website is not accepting.

Please help me rectify this error. I cannot give NOC as MR karan never existed.

What is the meaning for the followings in company :

1)Enterprises.
2)Corporation.

plz can any one suggest me, when the name of a company had been changed during the year....whether it is required to prepare two balance-sheet in respect of that........or an consolidated balance-sheet will be sufficient.
also suggest whether under income tax there is requirement of two bal-sheet under two different name or a consolidated balsheet will work in both the cases.

due to renewation we shift our registered office ,,,,,,,,,,,and it is shifted for only 2 or 3 month and after that period we will shift again on former office .

can any body guide me should i fill the e-form 18.

as the office shifting is only for temprory.

I have the following query:

1. A private co wants to allow its directors to use the residentail accomodation owned by the Company free of chages. Would it count as Remuneratrion?

2. for the said premised Public co in which above directors are whole time directors, co pays elecrticit etc charges.

Please let me know the compaliance to be done in this regards.

ABC is a pvt ltd Company. Mr. X is MD of the Company. The Company proposes to appoint Ms. Y, the daughter of Mr. X as employee of the Company. What resolutions and type of meeting will be required if

1) monthly remuneration is Rs. 9,500/- p.m.

2) monthly remuneration is Rs. 19,500/- p.m.

3) monthly remuneration is Rs. 30,000/- p.m.

4) monthly remuneration is Rs. 60,000/- p.m.

While interpreting the term remuneration, does it include only Basic + DA or other perks and emoluments as well?
