Please suggest the procedure of re appointment of director in private limited company after dissqiualification.

When i am trying file INC-22, in prescrutiny a message show Director Dissqualified as per provision

If i want to incorporate public non-government company with 7 members then I have to file Spice Form. But I also want to change AOA all together means my company have its own interpretation, own share capital description and so on. whether it will be entrenchment of Articles or not ? Anyone please clarify it, it's very urgent.

one of our company is Disqualified by roc due to non filling of Annual returns for last 5 years, now when we go for winding up of company mca forms gave us message that directors are Disqualified. So please guide me

I Rotation of auditor is applicable to all the companies irrespective of one person company, private ltd company and public ltd company as per companies act 2013

My query is about removal of First Auditor.
Is removal of First Auditor or appointing a different auditor at first AGM requires a special resolution to be passed and filing of MGT-14 and ADT-2 accordinngly. Please suggest.
