20 October 2017 What is the procedure to be followed when director retire by rotation and not intended to get reappointed? when to file DIR 12?

23 October 2017 You have to pass resolution in AGM expressly mentioning that retiring director does not offer himself for reappointment be not be reappointed and casual vacancy caused be not filled up.

You have to obtain from the retiring director, a notice in writing addressed to the board of directors or company mentioning his unwillingness to be so reappointed.

After AGM you have to file DIR-12
