This query is : Resolved

16 October 2017 1st Board meeting to be held in 30 days from date of incorporation.for eg if CIN date is 24th march and company has conducted 1st board meeting on 10th april. then as per general rule company has to conduct 1 board meeting every quarter and in this case company could not do so.what is solution .Pls give asap

17 October 2017 As per SS1 The Board shall hold its first Meeting within thirty days of the date of incorporation of the company. It shall be sufficient if one Meeting is held in each of the remaining calendar quarters, subject to a maximum interval
of one hundred and twenty days between any two consecutive Meetings of the Board, after the first Meeting

17 October 2017 my doubt is for eg:company was incorporated on 24th march and it held its 1st board meeting on 10th april which is next year.In this case even though company has conducted MEETING WITH IN 30 DAYS OF INCORPORATION,could not held meeting in Jan -Mar for the earlier quarter.in mca filing we need to fill the date of 1st board meeting.but wen we give 24th april it is showing error as meeting was not conducted with in the FY 2016-17.Pls suggest us in this regard.
thanks in advance.

17 October 2017 YOU ARE TALKING ABOUT WHICH ROC FORM

17 October 2017 sorry.pls refer the full case
Dear Sir/Madam

With reference to above the concerned company having CIN: U93000RJ2017PTC057579 was incorporated on 24.03.2017 and did not call any Board Meeting during the financial year 2016-17 (From 24.03.2017 to 31.03.2017) But the company called its First Board Meeting on 10.04.2017, which falls in next financial year (viz. F.Y 2017-18)

Hence while filing Form MGT-7 for the F.Y 2016-17, the company need not to/Can`t mention any Board Meeting in form MGT-7.

A technical error happening while click in check form that "No. of Board Meeting colomn can`t be blank

Form MGT-7 is attached herewith for your kind reference.

Kindly do the needful as soon as possible.

18 October 2017 the error is because you are filing MGT-7 for 2016-17.
No need to file MGT -7 for FY 2016-17.
As financial year in your case will end on 31/03/2018. You have to file MGT-7 in the FY 2017-18

20 October 2017 Thanks Mitesh for ur reply.
But Company was in existence in FY 2016-17 for 6 days(25th Mar -31st march 2017).Is it not required to file MGT-7 for that 6 days.
Generally even company is in existence for few days also we need to prepare and file IT returns for that part right?
Please clarify in this regard.

23 October 2017 Though company was in existence in FY 2016-17, mgt-7 is not required to be filed for FY2016-17

23 October 2017 Thank u so much Mitesh.
