MY QUESTION IS WHAT IS LAST DATE FOR AGM

AND 23AC & 23ACA LAST DATE FOR FILING

A company incorporated in sep 2008 with authorised capital of Rs 1,98,00,000 divided into 19,80,000 shares of rs 10 each. members subscribed for 10,00,000 shares in MoA. Now the balancesheet of company is showing paid up capital 99,00,000 divided into 9,90,000 shares.
is it possible that paid up capital can be less than the capital subscribed in MoA at the time of incorporation

Dear members
Can a private limited co. get unsecured loan from the relatives of the members and from outsiders?
The pvt. has already got unsecured loan from its directors. Is the comapny required to record the above details in the Register of contracts?
Should the auditor of the above co. disclose the loans given to directors in the audit report?

Actually I had upoladed the form 2 with the penality of Rs.4000/-, but had done the wrong filling. I had also inclued the First subsciber to MOA in the allotment form.

What is the solution to rectify the filing with the Same SRN. The form is not approved till the date

Can a listed company authorise or empower its company secretary to allot ESOPs on behalf of the Board?

A listed company wishes allot ESOPs. but its not possible for it hold board meeting each time it wishes to allot ESOPs.
Now the board wants to authorise someone to allot esops on behalf of the board.Can the board do so?
whats the procedure to do so?
is there any other alternative to issue ESOPs without holding board meeting or involving the directors?

A public limited co. was having 3 directors, one director resigned & a director in casual vacancy was appointed in his place.

As normal practice the company does not define the period of office of any Director while his appointment so this director in casual vacany does not have any definite tenure (as the person in whos place he was appointed did not have a defined period).

Can the company regularise the appointment of this director in casual vacancy by appointing him as a Director retiring by rotation at the ensuing AGM?

I have querry on undertaking between shareholders of a Pvt. company when shares are bein transferred from one person to another. can anyone would like to tell me the format of such kind of undertaking....

Pl. tell me that while selecting the name of LLP. Procedure for approval of name is same like Pvt. ltd. co. or it is different.
Like obecct or nown is must in pvt. ltd. co. is this is the same in LLP or not.
