30 October 2010 Dear friends,

Please give me the full requirement & procedure for new auditor appointed in case of casual vacancy do to resignation of previous auditor.
in case of LTD & Pvt ltd company both.

31 October 2010 Casual vacancy due to resignation can only be filled in general meeting.

31 October 2010 Dear Sir,

In your case section 224(6) is applicable.

Where vacancy is caused due to resignation of auditor only members in general meeting can fill it.

So the procedure is:

1. Hold a BM and propose the name of new auditor firm.

2. Fix the date of EGM and approve EGM notice.

3. Pass a shareholders ordinary resolution to appoint new auditor to fill the vacancy.

4. Sent intimation of appointment to auditor within 7 days of EGM and ask him to file form 23B with ROC.
