if company annouces dividend 10% on capital on 30/04/2010,company capital is 10 crore as on 31.03.2010 and 11 crore as on 15/04/2010.what will be the capital for dividend.

A private company having paid up capital of rs. 1 crore enters into transaction with another private co. and they have common directors so they are related parties. the another or opposite party is having paid up of less than 1 crore. so i think as per section 297 of Companies Act, 1956 if a private company having paid up capital of Rs. One Crore or more enters into a transaction with another private company whose paid up capital is less than Rs. One Crore, then former company needs to take prior Central government approval and board consent before entering into the said transaction/arrangement.But no such action took place.

so kindly advice me the consequences. Is it falls under Condonation for delay or Compounding of offences???????????

Is compounding of offence available under Section 383A? If there is non-complaince in Sec. 383A but Secretarial Complaince Report obtained for the said F.Y. then it requires to do compounding or not?

In February 2008 the paid-up share capital of the Company reached Rs. 2 Crores and in the month of March 2010 the said date the paid up capital of the Company was Rs. 4.95 Crore.

The Company also by its letter in the month of August 2009 has informed the ICSI, WIRC for vacancy of CS. but get it in the month of March 2010.

The SCR obtained for FY 2007-08 & 2008-09. Then what will be the status under the said Section.

We have formed company on 12/09/2008. when we are filing the form 23ACA, it show the querry that previous year should be less than or equall to company formation date. it does not accept the year 1/4/2007 to 11/09/2008 and current year is 12/09/2008 to 31/03/2009. Please guide if we have to file the form 23ACA or not.

Does a Company is statutorily required to mention its registered office name in every legal contract it makes to a third party or the company can mention its unit name in a contract??

Can the company be able to appoint a person as a additional director in board meting and whether he Can be appointed as Managing director
