Can a foreigner, PIO (personal of Indian Origin) spouse of Indian can be a share holder and director in Indian pvt. ltd company ?

Sent for resubmission with the following remarks-

In MOA-2nd Subscriber's occupation and Witness occupation to be furnished.

In F.no.32 - the director's category to be furnished as 'Non Executive Director.

POA - Place & Date to befurnished.

is it ok if write place & date in POA and resubmit or must put new POA?

Got all these. does this mean only these errors need to be rectified or its just a normal review. will any fees be charged for resubmission?

how to correct them?

hi is it necessary for a limited co. to give bonus to its employees according to bonus Act?

even if the co. is in its 2nd accounting year?

Pls do confirm, i hv read sumwhere its only after 5 years. is it so? pls clarify.

I want to know the whole procedure for increase in paid up share capital of a non-listed private company.
If any resolution is required, then the format also.

In case of a newly incorporated company, while filing annual returns with MCA, the current F.Y is from the date of incorporation to the succeeding 31st March. (eg: 01-06-2009 to 31-03-2010).
But in Form 23AC and Form 23ACA, it requires us to fill the previous year Balance sheet date as well as Previous F.Y start and end dated.
A prescrutiny error says the following :
1.Previous F.Y End date should be greater than or equal to Incorporation date of the company.
2.Previous F.Y Start date should be greater than or equal to Incorporation date of the company.

What dates shall i fill in the Previous years column ??

A private company which is subsidiary of public company, makes preferential allotment of preference shares to a public company. Whether provisions of section 297 will apply?

I am a director of a pvt.ltd. co. my company want to increase its C/C limit from 10 lacs to 15 lacs with SBI, so, before application to bank company has to pass the resoultion to give the application for increase of C/C limit.

i would like to know whether a managing director of a pvt ltd co. can authorize any other person through power of attorney (to execute works contract or in relation to any tender)

1. Can any one provide me resolution to authorise Chairman & MD to file necessary e-Forms to ROC, if required on urgency.

2.Also pls send me the draft resolution to authorise CEO, CFO, & CS to certify any resolution for urgent matters

As it's not possible to conduct Board Meeting, esp. to get authorisation for filing e- forms.
