03 February 2011 Can any on tell me it is possible that a co. Have 2 Company shareholder and these two Companies has authorised those persons to attend Agm and other meeting on its behalf who are also the Director of the First mentioned Co.

03 February 2011 Yes. It is possible to have 2 corporates as shareholders and these corporates can authorise its representatives to attend meetings and also appoint directors.

03 February 2011 My query is:
Suppose there are 3 Cos. ie. A B & C. Company A has two Directors i.e. Y & Z. and B & C are the Shareholders of A.

B has authorised to attend meeting under Sec 187 to y & C has authorised to Z.

When i m preparing AGM minutes then Directors and Shareholder,s representative are same persons bit is possible or any violation in this acse is involved
