Please consider the following issue and clarify.
A Public Ltd Company which is a 100% subsidiary of Private Ltd Company!
Query:
1. How many members & Share holders should be in Public Ltd Company, Whether 7 or 2. If 7, then how can it became 100% Subsidiary of Private Ltd Company?
2. Similary how many Directors?

I am incorporating a public company. whether it is compulsory to sign MOA by all seven promoters. If some promoters can authorise any other person to sign MOA on their behalf ?

If yes . How much stamp duty we have to pay for above power of attorney ?

Whether Board of Director's can authorise any direcor to file annual filing before the AGM Date?

i.e. Mr.X was authorised by the BOD to file the ROC annual filing before the AGM Date? Is it valid?

Dear All,

A private company "X" is in a business of builders and wants to start a new line of business in textiles.

Kindly let me know the procedure to be followed if....
1. Other objects clause has such cluase stating that company can start new line of business any time or specifically states that company can start textile business any time.
OR

2. No such clause is included in other objects of the MOA of the Company.

Please also state the reference where i can find it.

please tell me what are the proceedures for transfer of pvt company shres ? is any form shoud be filed ?

1)Is further issue section 81 of companies act applicable to preference share also.

2)A company did not pay any dividend to its preference share holders in 2009-10 due to shortage of profit. Can it issue more preference share in 2010-11.Please give reference of sections if any?

Dear Sir,
Is it possible the Date of Appointment of Director & Consent Letter may be different date?

i.e. Mr.Gopal has given the consent to act as Director of M/s Manthra Pvt Ltd on 15th Dec.2010.But that company hold a Board Meeting on 28th Dec.2010 & appoint him on 28th Dec.2010 only.Is it valid?
If yes What is the time period to appoint anybody as director from the date of receipt of consent Letter?

i.e. Investor Compliant Form can file by a shareholder of a Pvt Ltd?
Is it possible to revoke the Compliant in future by the complainant?

If Yes what is the way to do like that?

If a Co has got 2 Directors & one of them suddenly expired then can one Director form the board of directors or can make decisions
Or otherwise within which period a new director is to be appointed
