I had Purchase a existing Real estate pvt.ltd.co, but the legal formalities( forms to be filled by co.) have not been complied since two year.can any body tell me what type of form now i have to filled and for what purpose in detail. (all about ROC formalities)

Please can anyone advise, Form DDA as prescribed u/s 274 (1) (g) be signed out of the board meeting or do we need to include it in the agenda of the board meeting.

myself sachin, i have query about Form5 and prefernce share.

the company is increasing authorised capital from rs.1 lac to 5 crore to issue preference shares , hence company did baord meeting and EOGM and uploded form 5 on 12th feb 2011 bt due to some signing we couldnt paid roc fees and stamp duty before the expiry date of challan i.e. 14/02/2011. now i want to upload form again but ROC system gives errror regarding old Form 5? please give me solution. coz i want to do it urgent.

if the money received for perferce shares before the EOGM can i file form5. suppose money comes on 1st jan and EOGM called on 1 st Feb . is it legal according to company Law. i will be greatful if Mr. Ankur Garg solve my query.

Please clarify this:

Mr.A is a director in X ltd and also in Y Ltd. Mr.A has no shareholding in both the Companies.

Being an interested Director, is it required for him to make disclosure under Section 299 of the Companies Act for any contract or arrangement entered into or can he claim exemption under Section 299(6) stating that he has no shareholding in the Company??

My question is company wants to give 2 days notice...wat can be done thanx in advance

a proprietorship firm was taken over by
a pvt ltd co. Now the takeover
consideration was given more than what
was decided, can the extra part be
treated as goodwill?

Again the takeover a/c has transactions
like money given & taken back, is this
allowed in take over a/c?

A loan was given to director &
shareholder of pvt ltd co. as this is
not allowed, now what can be done in
this regard?
