Can anybody tell me, what would be the procedure if an additional director is not to be appointed in the AGM for a limited Company?

16 February 2011 Additional Director holds office only upto the date of AGM. If in the AGM no resolution is passed for his appointment as Director, his office gets vacated after the AGM.

No procedure need to be followed. Simply don't propose his appointment in the notice calling AGM.
