15 February 2011 Can Executive Director be paid any sitting fees in case of Private Company?
And also let me know, If member of the Board is not designated as a Director,then sitting fees is payable to him?

15 February 2011 The definition of the term 'Director' as provided under the Companies Act, 1956 includes a person occupying the position of a Director by whatever name called. Hence, in my opinion, even if a person is not designated as a Director of the Company but performs the functions and duties as that of a Director, he can be paid sitting fees for attending the Board Meeting.
