Scenario: X Company(Unlisted) wants to acquire a division of Y Company(Listed) by means of postal Ballot.
Query: Can the Y company issue a notice to its members without stating the name of the X Company which is going to acquire its business?
My friends, I kindly request you to answer my query with a supporting case law or a supporting 'Valid' statement.

If a Pvt. Ltd. company having only three members which has purchased land say for Rs.1 crore.

Now if all the three members transfer their share to another menbers say for nominal consideration then what will be the consequnce?

If a Name of a Proposed Co is approved by ROC through form 1A & such form if not responded within 60 days ie proceedings for incorporation is not being carried out then is it possiable that after 60 days can such name be applied for registration of that co.

A Pvt company wan get Defunct, so Can Directors of company claim the expenses paid by them against the asset of company. The company is not working for last 4-5 years.

Can an existing Private Limited Company have only one Individual as its Share Holder ?

In other words : Can an individual hold 100% shares in a private limited company ?

A Shareholder Agreement has been entered into between a pvt co and its promotors. Is it necessary that AOA have to altered first and then shares allotted? Or Can shares be allotted first and then AOA amended?
Further, if shares have to be allotted at par and at premium, then can they be allotted in the same Board Meeting? Or should seperate BM be held for such allotment.
Pls clarify.

Mine is a unlisted Public company recently got converted from private to public in the month of December. The Company had already appointed a managing director. The company has inadequate profits hence was planning to file form 25A, however as per the recent amendment it has become in applicable to the company. So is it necessary to file Form 25A any more or shall we file Form 25C.
