please throw me a light on the following:

In a Pvt Ltd Company, MD has been paying remuneration which includes commission at the rate of 10% on the net profit as there is no restriction on the payment of remuneration to MD in a Pvt Co.

Few months back, the company was converted to Public Limited Co, but the remuneration to MD has not been revised as per section 269 r/w schedule XIII of the Act.

Returns has been filed for the financial year 2010-2011 in which the remuneration to MD was stated asap.

Is there any possibility to set it right without intervention of any disciplinary actions?

provided, the refund of remuneration by th edirector/waiver of remuneration by the company should not be the outcome/result.

I Have a problem in identify the date of commencement of business of a company and my issue on this point is that "A company start to make it's purchases from outsiders but there is no sales made by Company further company start to writteoff it's pre-operative expenses. in case how i can identify the business commencement date of company
OR
can we considered that " first purchase made my company is it's business commencement date

can anybody pls explain the CLSS 2011 scheme in brief?? is this scheme also applicable for foreign companies??

As per Sec-12 of Bonus Act for the employees having salary in between 3500-10000, salary for bonus calculation shall be Rs.3500.

Then if an employer making provision of bonus for such employees having salary in between 3500-10000 on their original salary (say employee having salary 8500 given min.bonus @8.33% of 8500 instead of 3500) then it is correct or not ???

When I am trying to file form 8 I am getting a prescrutiny error that the director signed the form is in default of filing B/s or Annual Return of a company. I would like to know how we can find which company he has done the default. At present he is a director of 15 companies and all have filed B/s and AR, but I don't understand how this error is coming.

A share holder of the non listed limited company,wants to sell his share in Rs. 200/- to his friend where as the book value of the share is Rs.50/- and face value of the share is Rs. 10/-.

Further above non listed limited company is also going to issue share capital on premium of Rs.140/- per share.
