The Managing Director of a company was appointed for a period of 5 years. Before the completion of his term, the designation gets changed to Whole time Director. What all formalities to be complied with, in this case? Any other form to be filed in addition to Form 32 which will be filed for change in designation?

1) What is the procedure of increase director remuneration? BM is sufficient or a letter to be issued to each director?

2) We have increased directors remuneration in April 2011, now we want to further increase of remunertion to one of the director.

Please advice me and provide the detail procedure with sample board resolution.

And What shall be the number & date of resolution for the fiield"I have been authorised by the Board of directors' resolution number........ dated (DD/MM/YYYY) to sign and submit this form"

is it the date of AGM.

Hi, I would like to know how I can split the share percent while registering a new private limited company. We are 3 people out of which 2 are the directors, A and B, having share percent of 50 and 25 respectively. Person C will not be a director of the company but only a shareholder (25%). (e) Cost Accounting Records (Industrial Alcohol) Rules, 1997
(f) Cost Accounting Records (Electricity Industry) Rules, 2001
(g) Cost Accounting Records (Petroleum Industry) Rules, 2002
(h) Cost Accounting Records (Telecommunications) Rules, 2002

But is Cost accounting REPORT Rules 2011 are applicable to above 8 Industries?

The Company has adopted its annual accounts for the year ended 31.3.2011 at the Board meeting held on 3.5.2011 where the statutory auditors has been re-appointed.The said auditors has also done the audit for the quarter ending 30.6.2011. The AGM has been convened on the Board meeting held on 12.7.2011 on which date the notice of AGM has been prepared.Now the auditors have expressed their unwillingness to be reappointed.

1. When should the existing auditors furnish their resignation letter?
2. What should be the date of letter for appointment of new auditor?
3. How the appointment of new auditors be done in the AGM to be held in August?
