A public Ltd Company was incorporated in June 2004. However the Company did not obtain COB till date. (2010-11).

The Company is unlisted and has not issued prospectus.

Further the paid up capital of Rs.5Lacs was paid in 2007-08. Earlier years the paid up capital is partly paid in and in 2008 the paid up capital was fully paid.

The query is can the Company apply for COB now.Will the Company has to file CLB petition of condonation of delay.

Further the share certificates are to be issued as on the date of fully paid up shares.

Sir, In F.Y 2009-10, the land value has been shows as Rs. 16.80 Lacs and Statutory auditor has submit his report and thus accordingly filed the annual reports of the company.

But actually the land value was 16 Lacs.
Pls guide how to adjust/show this excess amount in the F.Y 2010-11.

As for the disclosure in Director Report, the limit of remuneration of the employee's has increased from Rs. 2,00,000 to 5,00,000 per month or Rs. 60,00,000 per annum
Sir, pl explain whether it will be applicable in the financial yr 2010-2011 or not.

Dear Friends,

I need a clarification regding naming a company. ROC authorities ofen reject a name saying that its starting name is not a noun or some times it has no activity in it.

My query is it mandatory to have a name starting with noun. Can not it be a name starting with an adjective. Suppose I name a company as " Smart Consultants Pvt. Ltd. is there any objcetion in this name.

Secondly form 1A requires significance of key word. In the aforesaid name what could be the justifcation of key word i.e Smart. Can I mention dictionery meaning of word Smart.

Pls advise.

I am forming a PVT.Ltd co. in which one director is NRI(USA), other is resident.
Can NRI director give POA to professional,other resident director
to sign on there behalf.
If they can how the POA is to be executed/attested,what is the format.

Up to what amount can NRI can subcribe within FEMA exemption limit.

Hi Members,

Referring to various discussion on issue of share certificates i understand:

1. Normally Share certificates are issued after receipt of capital promised.

2. Date of Issue will remain date of incorporation.

wanted to understand apropos stamping on the certificates and date of issue thereof:

practically shares certificates are stamped after the first Board Meeting and issued thereafter.

so having the post date of franking and pre date of issue of certificates will make sense?
