Please let me know whether Independent Director who attends AGM or EGM is entitled to Sitting Fees which is normally paid to him for attending Board Meetings or Meetings of any Committees thereof?

As per Agenda of the Board Meeting, Item No. 1 was “Grant of Leave of Absence” but owing to pleasant presence of all the Directors on the Board there was no absence. Now when I am preparing Minutes of the same Board Meeting how this item will be shown? As a normal practice, if there was no absence of any Director then this item is not required to be shown in the Minutes and sequence will be started from Item No. 2 onwards. If I follow this practice so it will not match with the Numbering of the Agenda items. Hence I need your vital contribution to my knowledge to prepare the Minutes.

There is a limited company having paid up capital 11 crore. whether form 66 applicable. or they have to appoint whole time company secretry.

At the incorporation of a private Company when the form 32 was filed the category of Whole time Director was by mistake given as " Director". The Whole Time Director has been paid remuneration since the time of incorporation. There is no agreement, board resolution mentioning him as the WTD and neither the Articles mention him as such. How to rectify this now? Do we have to file a form 32 back dated? Please guide.
