Recently we have filed Form 1A mentioning three main objects but ROC has asked for resubmission with the comment that "multy objects not allowed".

My query is whether ROC's objection is legally valid?

Please clarify the query:-

In Companies Act 77A, it says that special resolution requied, and buy back not more than 25% of share capital and free reserves. Further buy back should not be more than 25% of paid of share capital in a financial year.

It also mentioned that buy back can also be done upto 10% of paid up share capital and free reserves by passing board resoluation in the Board.

Please clarify by passing board resolution alone whether Pvt ltd company can buy back its own shares upto 25% of share capital in financial year?

It has been provided in Sec 297 that Central Govts prior approval is mandatory when the paid up capital of a company is more than or equal to Rs.1 Crore. Sec 297 is relating to the the specified contarct between specified persons.Whose paid up capital needs to be considered for the priopr approval. Whether the contractor company or contratctee company. For example when the paid up capital of X Ltd company is less than 1 crore but the contrctee co Y Private Limited co having paid up capital of Rs.2 Crore. Do the X Ltd is required the prior aproval or Y Ltd . Assumed that both companies having same Director.

What is the procedure of change of directors of a private company in ROC office?

A company wants to declare inderim dividend. It occured loss last year but current year till sept it has profits. Can it declare dividend. if so please explain procedures to be followed.

Hello All

Please guide me on what are the formalities to be fulfilled after getting order from CLB relating to shifting of registered office. Within how many days e-form - 21 is to be filed with ROC and also let me know what other formalities we are required to compile with as mine is NBFC Company also, so any RBI Compliances are also required or just a written intimation to them is ok.
