18 December 2011 If the one of the two directors of a private limited company is staying mostly out of india then how the board meeting and general meeting can be convened...

19 December 2011 Please appoint an 'alternate director' under section 313 of the Companies Act,1956 to hold office for the director who lives abroad,and that alternate director can attend the board meetings / general meetings.

19 December 2011 Board meetings can be held through video conferencing also, moreover board meeting can be held anywhere.

19 December 2011 thanks sir...but if the alternate director is not appointed then how the things like b/s signing can be done? if the balance sheet is signed and send by director by email / fax etc. whether the same will be invalid as the actual meetings are not possible there being only two director of whom one is out of india
