Transfer of share in private limited company

19 December 2011 One of the two director of a private company regine. form 32 has been filled and new director in his place appointed.
All this information was mentioned in MCA returned filled on 29 Nov 2011. Share holding was shown in MCA return as 50% to old diactor and remaning 50% to new apponted director but no form is sent to MCA in respect of share transfer. What should company do?

I heared that in case of Privare company, no form is requried to be sent to MCA in case of share transfer only allocation of share should be shown in MCA return.
Is it true?

24 December 2011 It is same as in the public com. transferor and transferee (or on their behalf) both execute share transfer deed (7B) which is availabl at stock exchange.

This date mentioned on top of this deed must not be more than 2 months back from the date of transfer or we can say this duly filled deed has to be deposited not more than 2 months later from the date mentioned in the Deed.
As u hav pvt ltd company so i would tell u that execute the transfer within 2 months from the date in the 7B (share transfer deed).

24 December 2011 Is in case of private company, one need to deposit Share Transfer Form in MCA or Stock Exchange?

24 December 2011 No, share transfer form is deposited in the company only. MCA and SE are nothing to do with it. u can just get the FORM 7B from SE.
