If the director of the company is getting rent of 8,00,000 whether it is necessary to pass special resolution and file it in ROC.
Pls advise.

can minor acquire the shares in the private company? what is the procedure to be followed? is it necessary to make declaration under section 187C of the Companies Act, 1956? Is it necessary to create trust for transfer of shares to minor?

In south India many People do not use Surname. In one of the Director he his having name without surname and same in the case of her father. While applying to DIN we use his father name as his surname as it was mandatory. Now as per new rule, DIN need to be tally with PAN. Now customer say that in all my other legal doc say PAN, Passport, DL, Voter Card, LIC Bank A/c etc, my name is single, if I change it in PAN in future again i need to change in all doc. By doing this instead of making all my doc correct in principal i am making my all doc false. What is the fun of making change in all doc for DIN, If i am wrong i will do, by by doing this actually i am giving false info to all the department.

What to do in this case. Client is not ready to change all doc, is their any other way out to solve this problem. If we see Director is correct on his part as in their community they do not use surname with their name.

A Pvt Ltd Company has filed 1A and name had been approved with Registered office in New Delhi.

But Now Company does not want to have Registered office in New Delhi but in Gurgaon.
Form 1, 18, 32 are not yet filed.

WHAT SHOULD COMPANY DO NOW??

The company in question is a pvt ltd company with turnover less than Rs.5 lacs for the year ended 31/3/2011 and usually also for ant other year it is similar. It has an authorised capital and paid-up capital of Rs.1 lac each. It has 2 shareholders who are also its directors. The company has no VAT or Service Tax Registration and it is obviously not applicable to Tax Audit u/s 44AB because of its very low turnover. Correct?

Now, no compliance for the company has been done for the year ended 31/3/2011. My question now is what compliance has to be done for pvt ltd co. apart from the following and will be the penalty in this case:

1) Statutory company audit is pending till today
2) Income Return (ITR-6) is pending till today
3) Form 20B and Form 23AC have also not been filed till today
4) Is there any other compliance to be done apart from the above 3?

2)is agreement is to be executed, whether stamp duty to be paid? any specific format.
3)if Authorized capital share capital is Rs 100,000/- can shares to proprietor be given from that one lakh or authorized capital be increased
