What are the Restrictions on payment of Director's salary in case of Private Company????

Please let me know the consequences of not holding of statutory meeting as per section 165 of the companies act. Is there any other consequences apart from penalty prescribed under Section 165 (9) of the said act.

i have my attempt due in nov 2012.
i am super confused about corporate laws.
there is a companies bill 2009 that is not applicable for may 2012 attempt. will it be applicable for nov 2012?? then again there is companies bill 2011, will it be applicable?? the 2 bills- the companies bill 2009 & 2011 are entirely different in terms of arrangement of sections. and what about companies act 1956? will it be discontinued??

Mine is a query relating to interpretation.

If a public company has passed spl resolution in its AGM and the explanatory statement to the same states something more(as the background for the resolution), can this explanatory statement be challenged if there is no such clause in the resolution as such.
Pls reply with some supporting reference.

We registered new company in the month of June 2011. We received soft copy of Certificate of Incorporation in the month of June 2011.

We have not received the original Certificate of Incorporation till date.

Kindly let me know, what should I do now.
