Please let me know if a Whole Time Director can be appointed by way of circular resolution in a private company. The resolution for appointment being an ordinary resolution.

Whole-time Director can be appointed by way of circular resolution.

According to Section 289, a circular resolution shall be deemed to have been duly passed if it is approved by such of the directors as are then in india or a majority of such of them, as are entitled to vote on the resolution.
