Please tell me whether a private company can issue Right share if not mention in AOA?

I HAVE ONE PROBLEM THAT FOREIGN CITIZEN HAS GIVEN A LOAN IN INDIA AND NOW HE WANT TO FORM A COMPANY IN INDIA AND HE TELL ME THAT PLZ TRANSFER LOAN AS MY SHARE CAPITAL CONTRIBUTION FOR ISSUE OF EQUITY SHARE. IN THIS CASE FUND IS NOT RECEIVED FROM FOREIGN BECAUSE LOAN IS TRANSFER. PLEASE REPLAY ME THAT IN THIS CASE FORM FCGPR IS REQUIRE TO FILE OR ANY OTHER PROCEDURE WHICH I HAVE TO FOLLOW.

while auditing of private co, is it prerequisite to submit the director report & CA has to see wheather it is submitted or not?

We want to change the name of the Company alongwith conversion of the Company from public limited company to private limited company.

For E.g. name of our Company is XYZ Limited and we want to convert into Private limited Company by making its name as ABC Pvt. Ltd.

Whether name change and conversion both toghether possible?

If yes, what will be the procedure?

A Private Limited Company incorporated in manufacturing industry. It has two directors. after incorporation directors has settled in USA n become NRIs now.
