Can any one tell me that, I am incorporating a new company in the state of Gujarat . for which i need to submit the moa and aoa electronically through form 1 , is there any physical stamping or any other procedures required or directly a pdf file can be uploaded.

A Pvt Ltd Company having is Regd Office and Directors in Kolkata want to simply transfer the Company to 2 people residing in Mumbai. Now what is the procedure? As I understand:

1) Registered Office will have to be changed to Mumbai(which will be a complicated affair since it involves change of state)

2) Change of name(if they require)

3) Change of Directors: Form 32

4) Transfer of Share-holding: Now how is this to be done? As I understand, a Transfer Form has to be filled and kept for record and the Transfer has to be shown in the Annual Return of the Company. No Form 2 has to be filed.

5) A fresh Memorandum and Articles of Association will have to be prepared to reflect all the changes.

Is there any other compliance that you think has to be done? Obviously things like DIN of new Directors has to be obtained(if not available already) and Digital Kit of at least director will be required.... Apart from this, what all has to be done?

Dear Friends,

A director is holding a honarary position of executive vice president in a welfare foundation under ministry of Govt. of India and he also a member of a foreign association.

My query is whether the above director is require to disclose the interest in form 24AA in respect of his position above two entities.

If a Company has taken Loan from Financial Institution viz. PFC/REC and the borrower Company after preparing the Form-8 sneds the Form to the FI for applying their Digital Signatures but the FI Officer is not applying the signature without any valid reason.

Then what is the remeday left with the borrower Company. Already 40 days have gonebye........

Kindly advise.

I filed Form 1A, MCA directed to resubmit as TM is granted in 1995 for KEY TWO Words of the name.
But the applicant is running business with these words since 1991,
Can any of the experts suggest any solution so that name can be approved with KEy TWO Words.

We have to form a private company with business of ginning & pressing of cotton, processing and trading of cotton seeds, cotton bales, cotton yarns and cotton.
Can anybody suggest the main object clause for the same company...??

We have Company in which foreign persons are directors.

Now they want to transfer their shares. Transaction is happening between them.

My Question is
1. What is the procedure for transfer of shares between foreign persons.

2. If money does not come to india and transfer happens outside. But the company is the indian Company.

How we have to do the transfer?

As per Revised Schedule VI for preparation of Balance Sheet as per Companies Act w.e.f.01.04.2012 relevant to F.Y.2011-12 please clarify the followings where to be shown & under which schedule.
- Preliminary Expenses yet not w/off.

- Preoperative Expenses pending for allocation among Fixed Assets.

Integration of DPIN and DIN number done by MCA Old DPIN numbers are converted in NEW DIN numbers.

There is an option in MCA website “companies in which a person is/was a director". In service tab of this link, if we enter any name as per PAN details we can find DIN number allotted to that person.

Now I want to ask that by using this option of finding DIN number, can we find DIN allotted to person by regular E-filling procedure and NEW DIN which are previously DPIN numbers for LLP purpose.

Can we find DIN number allotted by above both procedure, by using this using this option?
