whether Late Father's HUF & 2 Major Son's HUF
can be considered as Director's relative so far unsecured loans from Directors & their relatives are concerned in case of closely held private Limited company. further any restrictions from the acceptance of unsecured loans from such HUF's in case of Pvt.Ltd Co.from the Companies Act point of view.

I want to strike off the name of company under FTE scheme but there are charges( from bank) still outstanding as per ROC records but in actual this doesnot exist, the company has not filed any form after repayment of loan.
Now i am trying to upload the FORM of FTE and system is showing the error that there are open charges against the company so the forms cannot be uploaded.
What are the ways possible as per your knowledge??

The Address proof is electricity bill for foreign director but the address is in Japanese Language. Can we get it translated in english in India. and who is authorised to translate. Can the director himself translate it. is it required to notorise again on the translation?

We got application (form 7B) for trf of shares 7-8 months back. Can we show the effect on current date?
Because 7B is valid (public unlisted co.) upto 2 months from the date of form & stamping.
How much days extension allowed by ROC? & wht is the procedure for that?

If a listed company wish to furnish corporate guarantee for loan taken by other group company from any Bank, whether, consent of Central Govt. is required u/s 295 of Companies Act, 1956 (for providing corporate guarantee).

Dear sir,
Please let me confirm that is CFO Certification on financial statements applicable to a Private limited company ? and suppose it is applicable, is it opional or mandatory for a private limited company ?. In my opinion this is applicable only to listed companies as per listing agreement Clause 49(V).

Facts of the Case:

• Mr. A has been appointed as MD of ABC Ltd for a period of 5 years without drawing any remuneration.

• Mr. A is an employee of PQR Ltd.

• It is proposed to appoint Mr. A as Director of PQR Ltd.

• By virtue of provisions contained in Section 269 of the Companies Act, 1956 Mr. A shall be deemed to be Whole Time Director of PQR Ltd.

• Pursuant to his appointment as Whole Time Director of PQR Ltd, can Mr. A continue as MD of ABC Ltd.?
