20 April 2012 Is there is a compulsion that director of a company (in both cases- public and private) should be a shareholder of a compsny????

No it is not mandatory that the director should also shareholders of a company. You are free to take him/her as shareholder or director.

I will also suggest you to check whether the articles of the company is not imposing any restriction for appointment of directors.
